    The firm must not effect or issue any contract of insurance, whether: (a) a new contract of insurance; (b) a renewal; (c) pursuant to any pre-existing agreement to issue a contract of insurance; (d) pursuant to any pre-existing agreement which confers upon a prospective policyholder a right to require the Firm to issue a contract of insurance; or (e) pursuant to an option which has been exercised in relation to a contract of insurance which has yet to be issued, unless the Firm has given the FSA at least five business days written notice of its proposed action and the FSA has confirmed in writing that it does not object to the proposal.
  • Must not commute or vary the terms of any existing
    The firm must not commute, vary, terminate or reinstate the terms of any existing contract of insurance or reinsurance or enter into any new contract of reinsurance with Ambac Assurance Corporation (AAC), any member of its group (the Group) or any successor or sub-division of AAC or a Group member including, but not limited to, the segregated account of AAC established pursuant to Wisconsin statute §611.24 and the general account of AAC which currently holds AAC's unimpaired business unless the firm has given the FSA at least five business days written notice of its proposed action and the FSA has confirmed, in writing, that it does not object to the proposal.
  • Must not take any action which may have the effect
    The firm must not take any action which has, or may have, the effect of: (a) transferring any assets (including, without limitation, by dividend, loan, transfer of collateral, assignment, novation, commutation, or payment of premium under any contract of insurance or reinsurance with Ambac Assurance Corporation (AAC), any member of its group (the Group) or any successor or sub-division of AAC or a Group member including, but not limited to, the segregated account of AAC established pursuant to Wisconsin statute §611.24 and the general account of AAC which currently holds AAC's unimpaired business) from the firm; (b) creating any security interest over any assets of the firm; or (c) incurring, or increasing, contractual or other liabilities (including, without limitation, any liability under a guarantee or indemnity) of the firm, in favour of, or for the benefit of AAC, any Group member, any successor or sub-division of AAC or a Group member (including, but not limited to, the Segregated Account or the General Account) or any third party in connection with any obligation of AAC, any Group member and/or any successor or sub-division of AAC or a Group member (including, but not limited to, the Segregated Account or the General Account), unless the firm: (i) has given the FSA at least five business days written notice of its proposed action and the FSA has confirmed, in writing, that it does not object to the proposal; or (ii) is required to take the action it proposes to take in order to meet its obligations under a contract entered into on or before 13 November 2009, and Ambac UK has disclosed that contract to the FSA prior to 13 November 2009 in order to meet its obligations under SUP App 2.12.1R(3)(b). For the avoidance of doubt, this sub-paragraph (ii) does not apply to the Amended and Restated 1997 Reinsurance Agreement entered into between the firm and AAC on or about 17 November 2009
