Client and Staff Limitation
1. The Firm will only onboard or otherwise advise clients currently or formerly advised by Sandle Nash Limited (FRN 613677) (“Sandle Nash) other than those set out in the Annex to this document, with the FCA's prior written consent. 2. The Firm must notify the FCA within seven days of becoming aware of any current or former director, shareholder or employee of Sandle Nash, or any Person with which Sandle Nash held a business relationship (including Persons from which Sandle Nash received client referrals/introductions): a. seeking to acquire shares in the Firm; and b. acquiring shares in the Firm. For the avoidance of doubt, this Requirement does not remove the need for any relevant Change in Control notification(s) as required by relevant legislation, or changes in close links, or otherwise as required by the FCA Handbook. 3. The Firm must notify the FCA if the Firm intends to engage or employ the services of any current or former director, shareholder or employee of Sandle Nash, or any person which Sandle Nash held a business relationship (including Persons from which Sandle Nash received client referrals/introductions), in any capacity. This includes but is not limited to: (a) as an employee, director, consultant or agent; and/or (b) making referrals/introductions of clients or business to and/or receiving referrals/introductions of clients or business from. The Firm must not engage or employ the services of any Persons captured under this Requirement without first providing notification to the FCA in accordance with this Requirement. Effective date 4. The requirements in this application are to take effect immediately upon the Firm becoming Part 4A authorised and upon their acceptance by the FCA, as notified to the Firm via email. Variation and cancellation 5. The Requirements herein will remain in effect until such time as the FCA provides to the Firm its written consent to vary or rescind the requirements in part or in full (whether upon application by the Firm or on the FCA's own initiative).
