1. Callabas will notify the FCA if it becomes aware that any current or former director(s)/adviser(s) of Philip James Financial Services Ltd (FRN 531018) (“PJFS”) has acquired shares in Callabas. This requirement does not remove the obligation on the Firm to notify the FCA of changes in close links as required under SUP 11.9 of the FCA Handbook. 2. Callabas will not, without the prior written consent of the FCA, engage or employ the services of any current or former director(s)/adviser(s) of PJFS in any capacity (including, without limitation, as an employee, director, member, consultant or through any agency or other relationship). 3. Callabas will not, without the prior written consent of the FCA, accept as a client of the Firm, and/or otherwise provide any services to, any clients currently or formerly advised by PJFS, save for those clients set out in the Annex to this application. 4. The requirements in this application are to take effect immediately upon the Firm becoming authorised. 5. These restrictions will remain in effect until the FCA approves an application by the Firm to have these restrictions removed, having demonstrated to the FCA’s satisfaction that it is continuing to satisfy Threshold Conditions in relation to all the regulated activities for which it has Part 4A permission.
