    Requirement 1 – Establishing a UK parent entity The Firm shall be deemed to be a UK parent entity from the Effective Date in relation to all the MIFIDPRU investment firms and all the ‘non-MiFID FCA firms’ (including their subsidiaries in both cases) from time to time that are subsidiaries or connected undertakings of any of the members of the “Perspective Group”, so that there is an investment firm group subject to MIFIDPRU. The Firm must establish a UK parent entity as soon as practicable and before the expiry of six months from the Effective Date in relation to all the MIFIDPRU investment firms and all the ‘non-MiFID FCA firms’ (including their subsidiaries in both cases) from time to time that are subsidiaries or connected undertakings of any of the members of the “Perspective Group”, so that there is an investment firm group subject to MIFIDPRU. The Firm will cease to be the deemed UK parent entity in accordance with paragraph 1 once all of the following conditions have been met: The Firm has established a UK parent entity in accordance with paragraph 2; and An application under s.178 FSMA has been submitted to the FCA in respect of a proposed UK parent entity for the Perspective Firms and has been deemed complete by the FCA, and such application: (a) has not yet been determined; or (b) has been approved, but a period of 14 days from the date on which the approval notice was issued has not yet lapsed. Requirement 2 - Notification The Firm must provide written confirmation to the FCA that it is in compliance with Requirement 1 within 10 working days of the Effective Date. The Firm must provide the FCA with monthly updates as to the establishment of the UK parent entity until such time as the UK parent entity is in place. Effective date The Requirements in this application are to take effect immediately on their acceptance by the FCA and notification of such to the Firm by email (“the Effective Date”). The Requirements will stay in effect until the FCA is satisfied that they can be lifted.
