Cove Financial is required to abide by a Deed Poll executed by it dated 23 July 2025 (the “Deed Poll”) in relation to specified clients and past business of Cove Financial Planning (Leeds) Limited (FRN 1003355), Appointed Representatives of Cove Financial Planning Limited (FRN 960167) listed in an Annex to the Deed Poll. Under this Deed Poll, Cove Financial has accepted liability and responsibility in relation to certain regulated activities and services previously carried on by the Firm whilst operating as an Appointed Representative. The full detail of such acceptance of liability and responsibility by Cove Financial is set out in the Deed Poll. 2. Cove Financial will only onboard or otherwise advise any additional clients currently or formerly advised by Cove Financial Planning (Leeds) Limited (FRN 1003355) and/or Cove Financial Planning Limited (FRN 960167) other than those set out in the Deed Poll (the “Additional Client(s)”) with the Authority’s prior written consent. 3. Cove Financial will, if the Authority gives such prior written consent, amend the Deed Poll to include the names and details of all Additional Client(s) to those set out in the Annex to the original Deed Poll. The amended Deed Poll must be re-executed prior to the Firm engaging in any business with or for such Additional Client(s). 4. In addition, Cove Financial will only enter into any agreements in relation to future movements of any former clients of Cove Financial Planning (Leeds) Limited (FRN 1003355) and/or Cove Financial Planning Limited (FRN 960167) (including, for the avoidance of doubt, any Additional Client(s)), by gift or sale, without the Authority’s prior written consent. Effective date 5. The requirements in this application are to take effect immediately upon the Firm becoming authorised and upon their acceptance by the Authority, as notified to the Firm via email. Variation and cancellation 6. The Requirements herein will remain in effect until such a time as the FCA provides to Cove Financial its written consent to vary or rescind the requirements in part or in full (whether upon application by Cove Financial or on the FCA’s own initiative).
