VOLUNTARY APPLICATION FOR IMPOSITION OF REQUIREMENTS
Client Notification 1. The Firm must by 15:00 BST on Tuesday 9 June 2026 notify its clients that the Firm is ceasing regulated activity in the UK and that they need to close their trading positions on a voluntary basis prior to 15:00 BST on Friday 12 June 2026, at which date/ time the Firm will close all remaining clients’ trading positions. Restriction on acceptance of new client monies 2. Once the VREQ application is accepted by the Authority, the Firm must not accept any new client monies save from existing clients wanting to pay variation margin on existing open positions prior to 15:00 BST on Monday 15 June 2026. This includes monies or assets under the client assets regime, title transfer collateral arrangements, delivery vs payment transactions, matched principal transactions, or otherwise. Client open position closure 3. The Firm must close all remaining open client trading positions by 15:00 BST on Monday 15 June 2026. Return of segregated client monies 4. The Firm must use reasonable endeavours to return segregated client monies held for or on behalf of clients in accordance with the Client Assets regime. 5. The Firm must notify the Authority of the amount of any residual segregated client money balances it has been unable to return at 15:00 BST on Wednesday 17 June 2026, doing so by close of business on Wednesday 17 June 2026. Return of TTCA funds 6. The Firm must return all funds held for or on behalf of clients under title transfer collateral arrangement (TTCA), or otherwise, doing so no later than by 15:00 BST on Friday 19 June 2026. Voluntary Application to Vary Permission 7. The Firm will, by 15:00 BST on Thursday 18 June 2026, apply to the Authority pursuant to section 55H(2)(b) of the Act, for the Authority to vary its Part 4A permission to remove the following regulated activities from the Firm’s Part 4A permission: Investments a. Arranging (bringing about) deals in investments b. Dealing in investments as agent c. Dealing in investments as principal d. Making arrangements with a view to transactions in investments Advertisement of regulatory status 8. The Firm must, by 15:00 BST on Thursday 18 June 2026, ensure that its Authority regulated status is not advertised by any person or entity connected to the Firm or connected to the controllers of the Firm (for example, any entity owned by individuals personally connected to the Firm’s controller, directors or senior management function holders). Where the Firm identifies that its regulatory status is being so advertised, it should notify the Authority of this without delay, including what steps it has taken to draw the issue to the attention of the relevant person or entity to remediate this. Secure records 9. The Firm must secure and preserve all records and/or information (physical or electronic) relating to the Firm in their original form, or in a copy proved to be identical to the source material, such that they can be provided to the Authority, or to a person named by the Authority, promptly on request (such standard not to impose a requirement beyond ordinary good record-keeping in the ordinary course of the Firm’s business). Publication 10. The Authority will publish such information about the Requirements as it considers appropriate, including in the Firm’s entry on the Financial Services Register. Effective date 11. The Requirements in this application are to take immediate effect on their acceptance by the Authority and notification of such to the Firm by email (the “Effective Date”). Definitions 12. Where relevant for interpreting this application, the terms used have the same meaning as in the Glossary of the Authority Handbook.
