    9) Dolfin must secure all books and records and preserve all information and systems in relation to regulated activities carried on by it, and must retain these in a form and at a location within the UK, to be notified to the Authority in writing by 19 March 2021, such that they (or, so as not to hinder Dolfin’s performance of its business activities, true copies of them) can be provided to the Authority, or to a person named by the Authority, promptly on its request.
  • Restriction on activities
    1. Dolfin (whether directly or through its agents) must not, without the prior written consent of the Authority: a) on-board any new Tier 1 Investor Visa clients except for discretionary investment management services where the portfolio does not contain any Conflicted Securities (as defined below); b) accept any new client money or new custody assets from existing Tier 1 Investor Visa clients to purchase any Conflicted Securities (as defined below); c) structure, promote, issue or distribute any bonds or loan notes where there are identifiable or potential conflicts of interest between Dolfin or its Directors, and the company seeking to raise finance (“Conflicted Securities”). 2. Paragraph 1b above does not apply to the acceptance of new monies or custody assets from existing clients and/or third parties by Dolfin as a result of, or in relation to the following: a) payment of its fees in relation to custody and platform services; b) receipt of dividends or coupons; c) rights issues; or d) corporate actions including maturing bonds. 3. Dolfin must secure all books and records and preserve information and systems relating to regulated activities carried on by it, and must retain these in a form and at a location, to be notified to the Authority in writing no later than 7 days after the coming into force of these Requirements, such that they (or, so as not to hinder Dolfin’s performance of its business activities, true copies of them) can be provided to the Authority, or to a person named by the Authority, promptly on its request. 4. Dolfin will not undertake acquisitions and materially grow its business in excess of an agreed limit, without the prior written consent of the FCA.
