Helford Capital Partners LLP (the “Firm”) applies under section 55L(5)(a) of the Financial Services and Markets Act 2000 (the “Act”) for the Financial Conduct Authority (the “Authority”) to impose the following requirements (the “Requirements”) on the Part 4A permission of the Firm as set out in the terms below. Requirements 1. Unless prior written consent is obtained from the Authority, the Firm is subject to the following restrictions: a. The Firm’s Appointed Representative Coinbase Institutional (UK) Ltd (FRN: 1003842) is restricted to the use of the ‘Making arrangements with a view to transactions in investments’ and ‘Arranging (bringing about) deals in investments’ permissions. For the avoidance of doubt, it cannot use the Firm’s other regulated permissions. b. The Firm’s Appointed representative Coinbase Institutional (UK) Ltd (FRN: 1003842) is restricted to a maximum of 40 professional clients. For the avoidance of doubt this number includes both ‘per se’ and ‘elective’ professional clients. Publication 2. The Firm consents to a notification being published by the Authority against the Firm’s entry on the Financial Services Register, the wording of which has been agreed between the Firm and the Authority. Effective date 3. The Requirements in this application are to take effect immediately upon acceptance of this application by the Authority and notification of such to the Firm via email. 4. The Requirements will remain in force unless and until varied or cancelled by the Authority (either on application of the Firm or of the Authority’s own volition).
