1. This case concerned the failure by Merrill Lynch International (MLI) to correctly report transactions involving Non-UK European equities to FSA in breach of the transaction reporting rules of both FSA and the Securities & Futures Authority (SFA). The breaches occurred over the period from September 1996 until January 2006 and the number of transactions misreported was approximately 1.2 million. The actual breach was a failure to correctly state the capacity in which MLI entered into these transactions. Merrill Lynch acted as Principal in these transactions but reported them as if the firm had acted as Agent. 2. The matter was settled under the executive settlement procedures with the firm agreeing to pay a fine of £150,000. This was the amount paid. The actual fine was discounted by 30% for early settlement. 3. The Final Notice was issued on 7 August 2006. The Notice referred to an earlier private warning that had been issued to MLI by its supervisors in November 2002 for another transaction reporting failure. This was included as it explained part of the factual matrix of the current breach and was relevant to the reason for deciding to take disciplinary action in this case.
