Limits on the record

    1.1 1) The Firm must not, without the prior written consent of the Authority, carry out any electronic money services for which it is authorised by the Authority pursuant to Part 2 of the EMR (issuance of electronic money) or conduct any payment services as defined under regulation 2(1) of the Payment Services Regulation 2017. 2) The Firm must not, without the prior written consent of the Authority, in any way dispose of, withdraw, transfer, deal with or diminish the value of any of its own assets, and any funds it holds for, or to the order of, its customers (whether in the United Kingdom or elsewhere). 3) The Firm must ensure that all relevant funds are appropriately ringfenced in a designated safeguarding account or accounts. For the avoidance of doubt, if this requires a transfer between accounts, this must be done with the prior written consent of the Authority. 5) The Firm must provide written confirmation to the Authority that it is in compliance with these Requirements by 4pm on 15 August 2023, until such time as it is notified in writing by the Authority that it may cease to do so. 6) The Firm must secure and preserve all records and/or information (physical or electronic) relating to electronic money services from its systems in their original form, or in a copy proved to be identical to the source material. These must be retained in a form and at a location within the United Kingdom, to be notified to the Authority in writing by 4pm 15 August 2023, such that they can be provided to the Authority, or to a person named by the Authority, promptly on its request.
  • Requirements 8 August 2023
    Paragraph 1.1(2) does not apply to monetary payments or the disposal of assets made by the Firm in the ordinary course of business, amounting to no more than £5,000 whether as a single transaction or a combination of related transactions. The requirement in paragraph 1.1(2) also does not apply to: 1) Usual and proper salary payments made by the Firm (and which had been agreed prior to the imposition of the Requirements).

    1.3 For the purposes of paragraph 1.2, the following payments would not be regarded as payments made in the ordinary course of business: 1) Payments of unusual or significant amounts to the Firm’s controllers, shareholders, directors, officers, employees or any connected persons. 2) The making of any capital distribution. 3) The making of any gift or loan by the Firm to any party. 4) Payments made as part of any financial restructuring or reorganisation of its business, of from the sale of any part of the Firm’s business (whether share or asset based).

    1.4 These Requirements shall take immediate effect and remain in force unless and until varied or cancelled by the Authority (either on the application of the Firm or of the Authority’s own volition).
