Limits on what they may do

Restriction in relation to former clients and persons of Beaufort Financial Planning Limited.
1) The Firm must not onboard or otherwise advise any new clients that are currently advised by or have formerly been advised by Beaufort Financial Planning Limited (FRN 583233) (“BFPL”) or a former appointed representative of BFPL, without the FCA’s prior written consent. Without prejudice to the FCA’s absolute discretion, it may be a condition to the provision of such prior written consent that the Firm ensures that, to the satisfaction of the FCA, the Firm assumes liability and responsibility in relation to regulated activities and services carried on by BFPL, and/or its former appointed representative(s), for or in relation to such clients. 2) The Firm must notify the FCA within seven business days of becoming aware of any Person: a) seeking to acquire shares and/or voting rights in the Firm; and b) acquiring shares and/or voting rights in the Firm. For the avoidance of doubt, this requirement does not obviate or detract from – but is in addition to - the Firm’s Change in Control obligations as relevant. 3) The Firm must not, without the FCA’s prior written consent (or save as expressly permitted in paragraphs 4 and 5 below), employ or otherwise engage in any capacity the services of a Person (whether or not for remuneration). 4) The Firm may continue to engage Simon Goldthorpe as an external consultant (either directly or via the firm Just a Minute Ltd for so long as it continues to employ him) to advise the Firm on matters within the scope of the Consultancy Arrangement (on the terms of that arrangement as in force at 01/10/2025. 5) The Firm may continue to engage Clive Goldthorpe as an external consultant (either directly or via the firms PowerPlanner Solutions Ltd and/or Goalistic Ltd, for so long as those firms continue to employ him) to advise the Firm on matters within the scope of the Paraplanner Support Agreement and/or the MI and Reporting Agreement (on the terms of those arrangements as in force at 01/10/2025.
