Restriction on Onboarding New Institutional Clients 1. The Firm must not, except with the Authority's prior written consent, enter into any new significant or material agreements to provide services deemed a Regulated Activity to any new institutional clients with effect from the Effective Date. Restriction on the Launch of New Propositions, Products or Services 2. The Firm must not, except with the Authority's prior written consent, launch a proposition, product or services that is not already offered by the Firm. Exclusions 3. These requirements do not extend to substantively concluded agreements as disclosed to the FCA on 14 February 2025. Effective Date 4. The Requirements in this application are to take immediate effect on their acceptance by the Authority and notification of such to the Firm by email (the “Effective Date”). 5. The Requirements will stay in effect unless and until varied or cancelled by the Authority (either on the application of the Firm or of the Authority’s own volition), until the Authority is satisfied the Firm has demonstrated that it has addressed the concerns the Authority has communicated to it. Definitions 6. In this application: i. “New institutional clients” means any client that would necessitate a material change in the Firm’s existing suite of propositions, systems and services or require significant amount of senior management engagement. ii. “Onboarding” means entering into a new business relationship with a person under which regulated services are to be provided to that person, or to any end client.
