Shepherd Compello Ltd (the “Firm”) applies under section 55L(5)(a) of the Financial Services and Markets Act 2000 (“FSMA”) for the Financial Conduct Authority (the “FCA”) to impose the following requirement(s) (the “Requirements”) on the Part 4A permission of the Firm as set out in the terms below. Restriction on regulated activities 1. The Firm must not, without the prior written consent of the FCA register and/or onboard any new customers except to the extent necessary to complete contractual obligations entered into before the Effective Date. 2. Notification and reporting 3. 4. Within 5 working days of the Effective Date, the Firm must provide written confirmation to the FCA that it is in compliance with the Requirements. Secure records 5. The Firm must secure and preserve all records and/or information (physical or electronic) relating to its regulated activities from its systems in their original form, or in a copy proved to be identical to the source material. These must be retained in a form and at a location within the United Kingdom, to be notified to the FCA within 5 working days of the Effective Date, such that they can be provided to the FCA, or to a person named by the FCA, promptly on its request. Effective date 6. The Requirements in this application are to take effect immediately on their acceptance by the FCA and notification of such to the Firm by email. 7. The Requirements will stay in effect until they are varied or cancelled by the FCA (either on the application of the Firm or on the FCA’s own volition). Publication 8. The Requirements will be published on the Firm’s entry on the Financial Services Register. Definitions 9. In this application: (a) “existing customer” means a person (natural or legal) who (prior to the Effective Date) has entered into a business relationship with the Firm for the provision of services in relation to its regulated activities; and (b) “new customer” means a person (natural or legal) who is not an existing customer of the Firm.
