1.1 The Firm must not, without the prior written consent of the FCA, onboard any new clients. 1.2 For the purposes of this Requirement: a. “New client” means any person or entity who is not an existing client and who has not previously entered into any business relationship with the Firm as at the Effective Date, including any prospective client for whom onboarding activities have not progressed to the point of establishing a contractual relationship. b. “Onboarding” means any step taken, whether directly or indirectly, by the Firm that establishes, activates, or formalises a new business relationship with a prospective client.

2.1 Within 5 days of the Effective Date, the Firm must publish in a prominent place on its website [https://www.bankoflondon.com/] a notice setting out the terms and effects of these Requirement(s) in a form to be agreed in advance, in writing, with the FCA. 2.2 By 4pm on the last Friday of the month, commencing on 27 March 2026, the Firm must provide, each month, written confirmation to the FCA that it is in compliance with these Requirements, until such time as it is notified otherwise by the FCA.
