Fined £16m on 27 March 2013
On 27 March 2013, the FSA imposed a financial penalty of £16 million on The Prudential Assurance Company Limited (PAC) in respect of PAC's failure to deal with the FSA in an open and cooperative manner, in breach of Principle 11 of the FSA's Principles for Businesses. The fine relates to PAC's failure to inform the FSA at the appropriate time that it was seeking to acquire AIA, the Asian subsidiary of AIG, in early 2010. PAC should have informed the FSA of the proposed transaction at the earliest opportunity, to allow the FSA to decide whether to approve or reject the deal on regulatory grounds. Instead, PAC did not inform the FSA of the proposed acquisition until after it had been leaked to the media. A fine of £14 million was imposed at the same time on Prudential plc, PAC's parent company, for a breach of Listing Principle 6 arising out of the same facts.
