This requirement does not prohibit Wellesley from dealing with or disposing of any of its assets in the ordinary and proper course of business. 4. For the avoidance of doubt, the following payments are not in the ordinary course of business: a) Unusual or significant payments to Wellesley’s shareholders, employees, officers or directors, or any persons connected thereto; b) Payments to Group entities except those that support expected redemptions and drawdowns; c) bonuses of any kind; d) the making of any gift by Wellesley to any party; e) the making of any capital distribution or dividend; f) payments made as part of a financial restructuring or re-organisation of its business.
